These Terms and Conditions ("Terms") govern access to and use of the FreelanceTracker.ai website, applications, APIs, support channels, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you use the Services on behalf of a company, agency, client, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you and that entity.

1. Overview

FreelanceTracker.ai is a software service built to support work tracking, timesheets, approvals, budgets, invoicing, payout workflows, analytics, and related operations. These Terms apply to your use of the marketing site, customer accounts, workspaces, applications, APIs, and any related functionality we make available.

If you do not agree to these Terms, do not access or use the Services.

2. Eligibility and authority

You may use the Services only if you are legally capable of entering into a binding agreement and your use does not violate any applicable law or regulation.

If you create or administer a workspace for workers, freelancers, contractors, or clients, you are responsible for ensuring that you have the authority to do so and that your use of the Services complies with applicable employment, contractor, privacy, surveillance, labor, and recordkeeping requirements.

3. Accounts and admins

You must provide accurate and complete account information and keep that information up to date. You are responsible for safeguarding account credentials, authentication methods, devices, and access paths used to reach the Services.

Workspace owners and administrators may invite users, assign roles, configure permissions, enable or disable features, and review operational records available within the workspace. You are responsible for the actions of your administrators and other authorized users in your workspace.

You must promptly notify FreelanceTracker.ai if you suspect unauthorized access, credential compromise, or misuse of the Services.

4. Subscriptions, billing, and fees

Paid access to the Services may be offered through a pricing page, order form, invoice, written proposal, or another commercial document accepted by the parties. Unless otherwise stated in writing:

• Fees are billed in the currency and billing cycle stated at the time of purchase or in the governing commercial document.
• Recurring fees are billed in advance for the relevant subscription period.
• Taxes, duties, levies, and similar government charges are your responsibility unless the applicable law requires otherwise.
• Fees are non-refundable except where required by law or expressly stated in a separate written policy or order document.
• We may suspend access for overdue amounts after reasonable notice.

FreelanceTracker.ai may update pricing or packaging for future subscription periods. Any pricing change will apply prospectively, not retroactively, unless you agree otherwise in writing.

5. Customer data and monitoring compliance

As between the parties, you retain ownership of the content, records, and data that you or your authorized users submit to the Services ("Customer Data"). You grant FreelanceTracker.ai a limited, non-exclusive right to host, copy, process, transmit, display, and otherwise use Customer Data only as necessary to provide, secure, support, improve, and maintain the Services, and as otherwise permitted by these Terms and applicable law.

You are solely responsible for:

• The legality, quality, accuracy, and integrity of Customer Data.
• Obtaining all rights, notices, consents, disclosures, and permissions necessary to collect, use, monitor, and process Customer Data through the Services.
• Complying with employment, labor, privacy, surveillance, biometric, consumer protection, and other laws that may apply to your use of time tracking, screenshots, app and URL metadata, activity levels, schedules, location data, or any other monitoring-related feature.
• Determining which tracking features are appropriate for your organization and configuring them responsibly.

By enabling screenshots, activity metrics, app and URL tracking, location tracking, geofencing, attendance features, or similar functionality, you represent and warrant that you have evaluated the legal basis for that processing and have provided all required notices and obtained all required permissions.

FreelanceTracker.ai may create and use aggregated or de-identified information that does not identify you or an individual person, as permitted by law, for analytics, benchmarking, product improvement, security, and operational purposes.

6. Acceptable use

You may not, and may not permit others to:

• Use the Services in violation of any law, regulation, contractual restriction, or third-party right.
• Use the Services to stalk, harass, discriminate against, retaliate against, or unlawfully surveil any person.
• Interfere with, disrupt, damage, or gain unauthorized access to the Services or related systems.
• Introduce malware, malicious code, harmful automation, or abusive traffic into the Services.
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Services except to the extent that applicable law expressly prohibits such a restriction.
• Bypass service limits, security controls, authentication requirements, or access restrictions.
• Resell, rent, lease, sublicense, or provide the Services to third parties in an unauthorized service-bureau or outsourcing capacity.
• Use the Services to store or transmit infringing, defamatory, unlawful, or otherwise harmful content.

We may investigate suspected misuse and take action, including suspension, restriction, or termination, where appropriate.

7. Intellectual property and feedback

FreelanceTracker.ai and its licensors own all rights, title, and interest in and to the Services, including software, designs, interfaces, trademarks, logos, documentation, and all related intellectual property, except for Customer Data and third-party materials provided under separate terms.

Subject to your compliance with these Terms and any applicable commercial terms, FreelanceTracker.ai grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription term for your internal business purposes.

If you send feedback, ideas, suggestions, or improvement requests, you grant FreelanceTracker.ai a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, provided that we do not publicly identify you as the source without permission.

8. Third-party services

The Services may interoperate with third-party products, integrations, payment providers, payroll platforms, project tools, communication tools, or identity providers. Your use of any third-party service is governed by that third party's own terms and privacy practices.

FreelanceTracker.ai is not responsible for third-party services, including their availability, security, accuracy, or performance, and is not liable for issues caused by third-party integrations unless the law requires otherwise.

9. Confidentiality

If either party receives non-public information from the other that is marked or should reasonably be understood as confidential, the receiving party will use that information only for the purpose of performing under these Terms and will protect it with reasonable care.

Confidentiality obligations do not apply to information that is or becomes public without breach, was already lawfully known, is lawfully received from a third party without restriction, or is independently developed without use of the other party's confidential information.

A party may disclose confidential information if required by law or lawful process, provided it takes reasonable steps to limit the disclosure and, where legally permitted, gives notice to the other party.

10. Suspension and termination

FreelanceTracker.ai may suspend or restrict access to the Services immediately if we reasonably believe that:

• Use of the Services poses a security risk or threatens service integrity.
• You are in material breach of these Terms.
• We are required to do so by law or lawful request.
• Fees remain unpaid after notice and any applicable cure period.

You may stop using the Services at any time. If you have a paid subscription, cancellation and renewal rules are governed by the applicable commercial terms, invoice, or billing arrangement.

Upon termination, your right to use the Services ends. We may delete or disable access to Customer Data after a reasonable period, subject to legal obligations, backup practices, dispute preservation needs, and any separate written agreement governing export or retention.

11. Warranties disclaimer

Except as expressly stated in a signed agreement, the Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, FreelanceTracker.ai disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, error-free, completely secure, or suitable for every use case. You are responsible for assessing whether the Services fit your legal, operational, and business requirements.

12. Limitation of liability

To the maximum extent permitted by law, FreelanceTracker.ai and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities, even if advised of the possibility of such damages.

To the maximum extent permitted by law, the aggregate liability of FreelanceTracker.ai arising out of or related to the Services or these Terms will not exceed the total amount paid by you to FreelanceTracker.ai for the Services during the twelve months preceding the event giving rise to the claim. If you used the Services without paying any fees, the total liability cap will be one hundred U.S. dollars (US$100).

Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You will defend, indemnify, and hold harmless FreelanceTracker.ai and its affiliates, officers, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

• Your Customer Data.
• Your use of the Services in violation of these Terms or applicable law.
• Your failure to provide required notices or obtain required permissions for tracking, monitoring, or data processing.
• Your infringement or alleged infringement of a third party's rights.

14. Disputes and notices

Before filing a formal legal claim, the parties agree to attempt in good faith to resolve the dispute informally by written notice describing the issue in reasonable detail.

Unless a separate signed agreement provides otherwise, legal notices to FreelanceTracker.ai must be sent to support@freelancetracker.ai. Operational support messages may also be sent to the same address while dedicated support workflows are being handled by email.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where necessary to protect rights, confidentiality, security, or intellectual property.

15. Changes to the terms

FreelanceTracker.ai may update these Terms from time to time. When we do, we will update the effective date at the top of the page. Material changes may also be communicated through the Services, by email, or through other reasonable notice methods.

By continuing to use the Services after updated Terms become effective, you agree to the revised Terms to the extent permitted by law.
